These Terms and Conditions ("Terms") govern your access to and use of the SmartRecord application, website, and related services (collectively, the "Service") provided by SmartRecord ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By creating an account, downloading the application, or otherwise accessing the Service, you confirm that you are at least 13 years old (or 16 in the European Economic Area) and that you accept and agree to be bound by these Terms and our Privacy Policy.
2. Description of Service
SmartRecord is a screen recording application that allows users to create professional screen recordings and videos. The Service includes:
- A desktop application for screen recording and video capture.
- A website for account management, subscription management, and product information.
- Cloud-based authentication and license management.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. User Accounts
To access certain features of the Service, you must create an account by providing a valid email address. You agree to:
- Provide accurate and complete information when creating your account.
- Maintain the security of your account credentials and authentication links.
- Notify us immediately at team@smartrecord.app if you suspect unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
We use magic link authentication (passwordless login via email). You are responsible for maintaining access to the email address associated with your account.
4. Subscription Plans and Payments
4.1 Free Plan
SmartRecord offers a free plan with limited features, including watermarked recordings. The free plan may be modified or discontinued at our discretion.
4.2 Paid Plans
Paid subscription plans (Starter, Pro, and Lifetime) provide additional features and remove watermarks. By subscribing to a paid plan, you agree to the following:
- Billing — subscription fees are billed in advance on a monthly or yearly basis, depending on the plan you select. Lifetime plans are billed as a one-time payment.
- Payment processing — all payments are processed securely through LemonSqueezy, our third-party payment provider. By making a purchase, you also agree to LemonSqueezy's terms of service.
- Automatic renewal — monthly and yearly subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- Price changes — we may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period.
4.3 Cancellations and Refunds
- You may cancel your subscription at any time through your account settings or by contacting us.
- Upon cancellation, you will retain access to paid features until the end of your current billing period.
- Refund requests are handled on a case-by-case basis. Please contact team@smartrecord.app for refund inquiries.
- Lifetime plan purchases are non-refundable after 14 days from the date of purchase.
5. License and Usage Rights
5.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the SmartRecord application for personal or professional use.
5.2 License Keys
Paid plans include a license key that activates premium features. Your license key is personal and non-transferable. Sharing, distributing, or selling your license key is strictly prohibited and may result in immediate termination of your account.
5.3 Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble the SmartRecord application.
- Modify, adapt, or create derivative works based on the Service.
- Distribute, sublicense, lease, or lend the application to third parties.
- Use the Service for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Service.
6. Intellectual Property
The SmartRecord name, logo, application, website, and all related content, features, and functionality are owned by SmartRecord and are protected by international copyright, trademark, and other intellectual property laws.
You retain full ownership of all recordings and content you create using SmartRecord. We do not claim any rights over your content.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMARTRECORD AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless SmartRecord and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SmartRecord operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the competent courts of that jurisdiction.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date above. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SmartRecord regarding the use of the Service and supersede all prior agreements, understandings, and communications.
